AutismSignal TERMS OF USE

ARTICLE 1: INTRODUCTION AND DEFINITIONS

1.1 Agreement Overview

These Terms of Service ("Agreement" or "Terms") constitute a legally binding contract between you ("User," "you," or "your") and EzDaily Inc. ("AutismSignal," "Company," "we," or "us"), governing your access to and use of the AutismSignal mobile application and all related services, features, content, and functionality (collectively, the "Service").

1.2 Acceptance of Terms

By creating an account, accessing, downloading, installing, or using any portion of the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must not access or use the Service.

1.3 Definitions

For purposes of this Agreement, the following terms shall have the meanings set forth below:

(a) "Account" means the registered user account created through phone verification to access the Service.

(b) "Caregiver" means any parent, legal guardian, family member or other authorized individual responsible for the care of an individual with autism.

(c) "Content" means all text, data, images, observations, notes, logs, and other materials submitted to or generated through the Service.

(d) "Profile" means a collection of data associated with a specific individual being tracked through the Service.

(e) "Protected Individual" means any individual whose information is tracked, recorded, or managed through a Profile within the Service.

(f) "Sensitive Data" means behavioral observations and other personal data relating to a Protected Individual.

1.4 Modifications to Terms

AutismSignal reserves the right to modify, amend, or update this Agreement at any time in its sole discretion. Material changes will be communicated through the Service interface or via electronic mail to the address associated with your Account. The "Last Modified" date at the top of this document will be updated accordingly. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of such modifications.

ARTICLE 2: ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Age Requirements

To create an Account and use the Service, you must be at least eighteen (18) years of age. By registering for an Account, you represent and warrant that:

(a) You are at least eighteen (18) years of age;

(b) You possess the legal capacity to enter into a binding agreement;

(c) You are not prohibited from using the Service under applicable law; and

(d) All registration information you provide is accurate, current, and complete.

2.2 Parental and Guardian Authority

If you create a Profile for a minor under the age of eighteen (18), you represent and warrant that:

(a) You are the parent, legal guardian, or possess equivalent legal authority over the minor;

(b) You have the legal right to consent to the collection and processing of the minor's information;

(c) For minors under the age of thirteen (13), you provide verifiable parental consent as required under the Children's Online Privacy Protection Act ("COPPA"); and

(d) You accept full responsibility for all data entered regarding the minor and all actions taken through the associated Profile.

2.3 Age Verification and Enforcement

AutismSignal reserves the right to request verification documentation to confirm User eligibility. Upon discovery that a User is under the age of eighteen (18), AutismSignal shall:

(a) Terminate the associated Account without prior notice;

(b) Delete all data associated with such Account in accordance with applicable data retention requirements; and

(c) Prohibit re-registration until the individual reaches the age of eighteen (18).

2.4 Account Registration Requirements

To register for an Account, you must provide:

(a) A valid telephone number with applicable country code;

(b) A secure password meeting minimum security requirements;

(c) Your legal name; and

(d) Successful completion of telephone verification via SMS code.

You agree to maintain the accuracy of your registration information and to promptly update such information as necessary.

2.5 Account Security

You are solely responsible for:

(a) Maintaining the confidentiality of your Account credentials;

(b) All activities occurring under your Account, whether or not authorized by you;

(c) Immediately notifying AutismSignal of any unauthorized access, use, or security breach; and

(d) Ensuring that you log out of your Account at the end of each session when using shared devices.

AutismSignal shall not be liable for any loss, damage, or liability arising from your failure to maintain Account security or from unauthorized access to your Account.

2.6 Account Suspension and Termination

AutismSignal reserves the right, in its sole discretion and without prior notice, to suspend, restrict, or terminate your Account and access to the Service if:

(a) You breach any provision of this Agreement;

(b) You provide false, misleading, or inaccurate information;

(c) Your Account is used for fraudulent, illegal, or unauthorized purposes;

(d) You fail to maintain proper legal authorization for Profiles you manage;

(e) AutismSignal receives a valid legal request requiring such action; or

(f) AutismSignal determines that continued access poses a risk to the Service, other Users, or third parties.

ARTICLE 3: DESCRIPTION OF SERVICE

3.1 Service Overview

AutismSignal provides a comprehensive mobile application designed to assist Caregivers in managing daily routines, tracking behaviors and generating insights for Protected Individuals with autism. The Service is intended solely as a tracking, organizational, and informational tool.

3.2 Service Features

Subject to the terms of this Agreement, the Service includes the following features and functionality:

(a) Profile Management: Creation and administration of multiple Profiles for Protected Individuals;
(b) Routine Management: Development of customized routines with artificial intelligence-assisted duration recommendations and completion tracking;
(c) Behavioral Observation: Recording of daily observations including stress indicators, emotional states, meltdowns, shutdowns, and activity levels;
(d) Behavior Tracking: Logging of specific behaviors with Antecedent-Behavior-Consequence ("ABC") data methodology;
(e) Artificial Intelligence Insights: Personalized recommendations and pattern analysis powered by machine learning;
(f) Notifications: Configurable reminders via push notification, SMS, and electronic mail;
(g) Analytics and Reporting: Generation of weekly summaries and data-driven insights.

3.3 Voice Input Features

The Service may include voice-to-text functionality for hands-free data entry. By using voice input features, you acknowledge and agree that:

(a) Speech recognition is processed on your device using native operating system capabilities;
(b) Audio data is converted to text in real-time and is not recorded, stored, or transmitted by AutismSignal;
(c) You are responsible for reviewing and verifying the accuracy of transcribed text before saving;
(d) Voice features are intended for use by adult Caregivers only, not by minors;
(e) You authorize microphone access on your device; and
(f) Third-party speech recognition services (Apple or Google) may process audio data in accordance with their respective privacy policies.

3.4 Service Availability

AutismSignal endeavors to maintain continuous Service availability; however, AutismSignal does not guarantee uninterrupted, timely, secure, or error-free access. The Service may be temporarily unavailable due to scheduled maintenance, software updates, technical issues, or circumstances beyond AutismSignal's reasonable control.

ARTICLE 4: COMMUNICATIONS AND CONSENT

4.1 SMS Communications and TCPA Compliance

By providing your telephone number and using the Service, you expressly consent to receive communications via Short Message Service ("SMS"), including:

(a) Verification codes for Account security and authentication;
(b) Transactional notifications including reminders, routine alerts, emergency notifications, and Caregiver updates; and
(c) Service-related informational messages.

4.2 SMS Disclosures

You acknowledge and agree that:

(a) Message frequency varies based on your notification preferences and Service activity;
(b) Standard message and data rates from your wireless carrier may apply;
(c) Wireless carriers are not liable for delayed or undelivered messages;
(d) You may opt out of non-essential SMS communications at any time by contacting us at support@autismsignal.com
(e) Security-related SMS communications (including verification codes) are essential for Service operation and cannot be disabled; and
(g) SMS messages are transmitted via Twilio, Inc. and are subject to Twilio's terms of service available at https://www.twilio.com/legal/tos.

4.3 Supported Carriers

SMS services are compatible with all major United States wireless carriers, including AT&T, Verizon, T-Mobile, and regional carriers.

4.4 Electronic Communications Consent

You consent to receive electronic communications from AutismSignal, including through the Service interface, electronic mail, and SMS. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

ARTICLE 5: USER RESPONSIBILITIES

5.1 Accurate Information

You agree to:

(a) Provide accurate, current, and complete information when using the Service;

(b) Promptly update information when circumstances change;

(c) Record observations and data truthfully and accurately; and

(d) Not fabricate, falsify, or misrepresent health or behavioral data.

5.2 Authorization Requirements

You represent and warrant that:

(a) You possess legal authority as parent, legal guardian, or authorized Caregiver to create Profiles and manage data for all Protected Individuals you track;

(b) You have obtained all necessary consents required by applicable law;

(c) You will not create Profiles for individuals without proper authorization; and

(d) You will comply with all applicable laws regarding privacy, data protection, and consent.

5.3 Prohibited Conduct

You agree not to:

(a) Use the Service or any data obtained therefrom to harm, exploit, or discriminate against any individual;

(b) Share Sensitive Data without proper authorization;

(c) Access or attempt to access other Users' Accounts or data without authorization;

(d) Circumvent, disable, or interfere with security features of the Service;

(e) Use the Service for any illegal purpose or in violation of applicable law;

(f) Transmit malware, viruses, or other harmful code;

(g) Interfere with or disrupt the Service, servers, or networks;

(h) Use automated systems, bots, or scrapers without express written permission;

(i) Impersonate any person or entity or misrepresent your affiliation; or

(j) Use the Service in any manner that could damage, disable, overburden, or impair the Service.

ARTICLE 6: HEALTH INFORMATION DISCLAIMER

6.1 Not a Medical Device

THE SERVICE IS NOT A MEDICAL DEVICE AND DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. The Service is designed solely as a tracking and organizational tool to assist Caregivers in managing daily activities and recording observations.

6.2 No Medical Advice

The Service is not intended to:

(a) Replace professional medical advice, diagnosis, or treatment;

(b) Serve as a substitute for consultation with qualified healthcare providers;

(c) Provide emergency medical services;

(d) Diagnose any medical or psychological condition; or

(e) Recommend specific treatments, interventions, or therapies.

6.3 Consult Healthcare Professionals

You should always seek the advice of a physician, therapist, or other qualified healthcare provider with questions regarding medical conditions, treatment plans, medication changes, behavioral interventions, dietary modifications, or any health-related concerns. Never disregard professional medical advice or delay seeking treatment because of information obtained through the Service.

6.4 Artificial Intelligence Limitations

The Service utilizes artificial intelligence to generate suggestions, insights, and recommendations. All AI-generated content:

(a) Is provided for informational purposes only;

(b) Should be reviewed by qualified professionals before implementation;

(c) Is based on pattern analysis and general information, not comprehensive medical assessment;

(d) May contain errors, inaccuracies, or biases; and

(e) Should not be considered professional medical, therapeutic, or educational advice.

ARTICLE 7: INTELLECTUAL PROPERTY

7.1 Ownership

The Service, including all content, features, functionality, software, code, designs, graphics, text, and other materials, is owned by AutismSignal and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License

Subject to your compliance with this Agreement, AutismSignal grants you a limited, non-exclusive, non-transferable, revocable, non-sublicensable license to:

(a) Download and install the Service on devices you own or control; and

(b) Access and use the Service for personal, non-commercial purposes.

7.3 License Restrictions

This license does not permit you to:

(a) Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, or sell any content obtained from the Service;

(b) Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;

(c) Remove, alter, or obscure any proprietary notices, labels, or marks;

(d) Use the Service for commercial purposes without prior written authorization from AutismSignal; or

(e) Use any robot, spider, scraper, or other automated means to access the Service.

7.4 User Content

You retain ownership of Content you submit to the Service. By submitting Content, you grant AutismSignal a limited, worldwide, royalty-free license to:

(a) Store, process, and display Content to provide the Service;

(b) Use aggregated, de-identified data for Service improvement and research; and

(c) Display Content to you and Caregivers you have authorized.

7.5 Feedback

If you provide feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you grant AutismSignal a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback without obligation or compensation to you.

7.6 Trademarks

"AutismSignal" and related logos, designs are associated with AutismSignal. You may not use any AutismSignal designs without prior written permission.

ARTICLE 8: DISCLAIMERS AND WARRANTIES

8.1 Service Provided "As-Is"

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AutismSignal EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

(a) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;

(b) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;

(c) WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR AVAILABILITY OF ANY CONTENT, DATA, OR FEATURES; AND

(d) WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8.2 No Medical Warranty

AutismSignal EXPRESSLY DISCLAIMS ANY WARRANTY THAT THE SERVICE WILL DIAGNOSE, TREAT, CURE, OR PREVENT ANY MEDICAL CONDITION, PROVIDE ACCURATE MEDICAL ADVICE, REPLACE PROFESSIONAL MEDICAL CARE, OR BE SUITABLE FOR EMERGENCY SITUATIONS.

8.3 Third-Party Services

AutismSignal is not responsible for the availability, accuracy, reliability, or performance of third-party services integrated with the Service, including but not limited to Twilio, Firebase, Microsoft, and OpenAI. Issues with third-party services may affect Service functionality.

8.4 Data Loss

While AutismSignal implements reasonable backup procedures, AutismSignal does not guarantee against data loss. You are advised to maintain independent records of important information.

ARTICLE 9: LIMITATION OF LIABILITY

9.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AutismSignal, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY:

(a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;

(b) LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;

(c) PERSONAL INJURY OR EMOTIONAL DISTRESS (EXCEPT WHERE CAUSED BY AutismSignal'S GROSS NEGLIGENCE); OR

(d) DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

9.2 Liability Cap

IN NO EVENT SHALL AutismSignal'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00); OR (B) THE TOTAL AMOUNT PAID BY YOU TO AutismSignal IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.3 Basis of the Bargain

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS ARTICLE 9 ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN AutismSignal AND YOU. THE SERVICE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

9.4 Health-Related Liability Exclusion

WITHOUT LIMITING THE FOREGOING, AutismSignal SHALL NOT BE LIABLE FOR:

(a) Medical decisions made based on data or insights from the Service;

(b) Missed medications or appointments due to notification failures;

(c) Health outcomes related to use or non-use of the Service;

(d) Failure to diagnose or delayed diagnosis of any condition; or

(e) Delays in seeking professional medical care.

9.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, AutismSignal's liability shall be limited to the maximum extent permitted by applicable law.

ARTICLE 10: INDEMNIFICATION

10.1 Indemnification Obligation

You agree to indemnify, defend, and hold harmless AutismSignal, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

(a) Your access to or use of the Service;

(b) Your violation of this Agreement;

(c) Your violation of any third-party rights, including privacy, intellectual property, or publicity rights;

(d) Your creation of Profiles or collection of data without proper authorization;

(e) Any Content you submit to the Service;

(f) Your failure to obtain required consents or authorizations;

(g) Medical or other decisions made based on information from the Service; or

(h) Any claim that your use of the Service caused harm to any person.

ARTICLE 11: TERM AND TERMINATION

11.1 Term

This Agreement commences upon your acceptance (by creating an Account or using the Service) and continues until terminated in accordance with this Article 11.

11.2 Termination by User

You may terminate this Agreement and your Account at any time by:

(a) Using the account deletion feature within the Service settings; or

(b) Contacting AutismSignal directly at support@AutismSignal.com to request Account deletion.

11.3 Termination by AutismSignal

AutismSignal may suspend or terminate this Agreement and your access to the Service immediately, without prior notice or liability, for any reason, including if:

(a) You breach any provision of this Agreement;

(b) You engage in fraudulent, abusive, or illegal activity;

(c) You fail to maintain proper authorization for Profiles;

(d) Required by law or regulatory authority; or

(e) Continued provision of Service poses a risk to AutismSignal, other Users, or third parties.

11.4 Effect of Termination

Upon termination:

(a) All licenses and rights granted to you under this Agreement immediately cease;

(b) You must discontinue all use of the Service;

(c) Your data will be deleted in accordance with AutismSignal's data retention policies and applicable law; and

(d) Provisions that by their nature should survive termination shall survive

11.5 Service Modifications

AutismSignal reserves the right, at any time and in its sole discretion, to:

(a) Modify, suspend, or discontinue any feature or aspect of the Service;

(b) Introduce fees for features currently provided without charge;

(c) Impose limits on features, storage, or usage; and

(d) Release updated versions of the Service.

AutismSignal will provide reasonable notice of material changes but is not obligated to maintain or support any particular feature indefinitely.

ARTICLE 12: THIRD-PARTY SERVICES

12.1 Integrated Services

The Service integrates with third-party services to provide certain functionality. Your use of these integrated services is subject to their respective terms of service and privacy policies

12.2 Third-Party Links

The Service may contain links to third-party websites, resources, or services. AutismSignal does not endorse and is not responsible for the content, accuracy, or practices of any third-party websites. Access to third-party websites is at your own risk.

12.3 No Endorsement

Reference to any third-party product, service, organization, or resource does not constitute an endorsement or recommendation by AutismSignal.

Links from the Platform

If the Platform contains links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to this Platform, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

Geographic Restrictions

The owner of the Platform is based in the United States. Except as may otherwise be provided in these Terms of Service or our Privacy Policy, we make no claims that the Platform or any of its content is accessible or appropriate outside of the United States. Access to the Platform may not be legal for use by certain persons or in certain countries. If you access the Platform from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

Disclaimer of Warranties

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Platform will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our Platform for any reconstruction of any lost data. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE PLATFORM OR ITEMS OBTAINED THROUGH THE PLATFORM OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED, OR ON ANY WEBSITE LINKED TO IT.

YOUR USE OF THE PLATFORM AND ITS CONTENT IS AT YOUR OWN RISK. THE PLATFORM AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE PLATFORM. WITHOUT LIMITING THE FOREGOING, NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH THE COMPANY REPRESENTS OR WARRANTS THAT THE PLATFORM OR ITS CONTENT WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR PLATFORM OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE PLATFORM WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY WEBSITES LINKED TO IT, ANY CONTENT AVAILABLE THROUGH THE PLATFORM OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Governing Law and Jurisdiction

All matters relating to the Platform and these Terms of Service and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Georgia without giving effect to any choice or conflict of law provision or rule (whether of the State of Georgia or any other jurisdiction).

Waiver and Severability

No waiver by the platform of any term or condition set out in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the platform to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

If any provision of these Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.

Term and Termination

These Terms of Service shall apply for so long as a user access and/or uses the Platform. We may terminate any user’s access to our Platform, for any reason and at any time, with or without prior notice. It is our policy to terminate users who violate these Terms of Service, as deemed appropriate in our sole discretion. You agree that we are not liable to you or any third-party for any termination of your access to our Platform. We have no obligation to provide a refund of any amounts previously paid to us. Upon termination of your account under these Terms of Service, all license rights granted by you to us shall survive termination. Even after your right to use the Platform is terminated or suspended, these Terms of Service will remain enforceable against you to the extent applicable.

Entire Agreement

The Terms of Service and our Privacy Policy, and if applicable the Business Agreement, constitute the sole and entire agreement between you and us regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.

ACKNOWLEDGMENT

BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU ACKNOWLEDGE THAT:

(a) You have read and understood this Agreement in its entirety;
(b) You agree to be bound by all terms and conditions herein;
(c) You understand that the Service is not a medical device and does not provide medical advice;
(d) You will consult qualified healthcare professionals for medical decisions;
(e) You possess legal authority to create Profiles for individuals you track;
(f) You consent to the collection, use, and sharing of information as described in the Privacy Policy;
(g) You understand and accept the limitations and disclaimers set forth herein; and
(h) You agree to the dispute resolution provisions, including binding arbitration and class action waiver.
